These Terms govern your access to and use of https://prepme.pro, the PrepMe.Pro learning platform, and all related programs, courses, webinars, and services (collectively, the "Services") offered by Shree Honnakirana Academy LLP ("PrepMe.Pro", "we", "us", or "our").

By accessing the Website, enrolling in a program, or otherwise using the Services, you ("you", "user", or "student") agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.

You must be capable of forming a legally binding contract under Indian law to enrol. If you are under 18 years of age, you may use the Services only with the involvement and consent of a parent or lawful guardian, who accepts these Terms on your behalf and is responsible for your activity and payments.

PrepMe.Pro offers the following programs and services, which may be updated from time to time:

• Student Success Core — eight courses covering goal setting, career planning, communication skills, time management, digital literacy, and professional etiquette. Indicative price: ₹9,999/year.
• Competitive Exam Prep — preparation for KPSC, UPSC, Banking, and other competitive exams, with live expert classes, AI-enabled LMS, mock tests, study materials, and doubt-clearing sessions. Indicative price: ₹7,999/month.
• Study Abroad Prep — end-to-end support including university selection, application strategy, SOP & LOR support, test prep (GRE, IELTS, TOEFL, GMAT), interview prep, and visa guidance. Custom pricing.
• Free Webinars & Counselling — informational webinars and one-on-one counselling sessions at no charge.
• Institutional Partnerships — programs delivered with partner colleges, including co-branded certification and progress dashboards.

Our Services are educational and preparatory in nature. While we provide expert guidance, study materials, and support, we do not guarantee any specific result — including exam selection, scores, ranks, university admission, scholarship awards, visa approval, placement, or employment.

Statistics such as success rates or placement rates published on our Website reflect past aggregate outcomes and are not a promise of individual results. Outcomes depend on your own effort, eligibility, and factors outside our control.

To access paid Services you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

• Fees may be payable annually, monthly, or as specified for the program. EMI options and scholarships may be available subject to separate terms.
• Payments are processed through third-party payment gateways. By making a payment you agree to the gateway's terms. We are not responsible for failures or errors of the payment gateway.
• Subscriptions continue for the stated period. You are responsible for any applicable renewal as communicated at enrolment.

We want you to be confident in your enrolment. The following refund terms apply to fees paid for our programs:

You may request a full refund within 7 calendar days of payment, provided you have not attended more than 2 live classes and have not accessed more than 10% of course content or materials. Refunds within this window will be processed after deducting any non-refundable payment-gateway charges.

Once the cooling-off period has lapsed, or once you have accessed program content beyond the limits above, fees are non-refundable, as access to study materials, recorded sessions, and AI-LMS features cannot be returned.

You may cancel renewal at any time. Cancellation stops future billing but does not entitle you to a refund for the current billing period already commenced.

Given the personalised, time-intensive nature of these services, refunds are at our sole discretion based on the stage of service delivered. Third-party costs (application fees, test fees, visa fees) paid to external bodies are non-refundable by us.

Free webinars and counselling sessions carry no fee and therefore no refund.

Amounts waived through scholarships or promotional offers are not refundable in cash. Refunds, where applicable, are calculated on the actual amount paid.

We may cancel or suspend a program for breach of these Terms, non-payment, or misconduct. Where we cancel a program for reasons not attributable to you, we will provide a pro-rata refund for the undelivered portion.

You agree not to:

• Share, resell, sublicense, record, or redistribute our classes, study materials, or mock tests without written permission.
• Share your account or login credentials with any other person.
• Use the Services for any unlawful, fraudulent, or abusive purpose.
• Disrupt, reverse-engineer, scrape, or attempt to gain unauthorised access to our platform or security features.
• Upload false, infringing, defamatory, or harmful content, or impersonate any person.
• Harass faculty, staff, counsellors, or other students.

All content provided through the Services — including courses, videos, recorded sessions, study materials, mock tests, software, the AI-LMS, dashboards, logos, trademarks (including "PrepMe.Pro™"), and the design of the Website — is the property of Shree Honnakirana Academy LLP or its licensors and is protected by applicable intellectual property laws.

Upon enrolment, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the content solely for your own educational purposes. No other rights are granted.

You retain ownership of documents and materials you submit (such as SOPs, LORs, transcripts, and assignments). By submitting them, you grant us a licence to use, store, and process them solely to provide the Services to you. You are responsible for ensuring you have the right to submit such content.

The Services may rely on or link to third-party tools and websites (e.g., payment gateways, Google Meet, partner universities, and Frappe Cloud hosting). We are not responsible for the availability, content, or practices of third parties, and your use of them is governed by their own terms.

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation. We do not warrant that the Services will meet your requirements or that any particular outcome will be achieved.

To the maximum extent permitted by law, Shree Honnakirana Academy LLP and its partners, employees, and faculty shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, opportunities, or data, arising out of or in connection with your use of the Services.

You agree to indemnify and hold harmless Shree Honnakirana Academy LLP, its partners, employees, and faculty from any claims, damages, losses, or expenses arising out of your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

We may suspend or terminate your access to the Services at any time for breach of these Terms or for operational, legal, or security reasons. You may stop using the Services at any time.

Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.

We may modify, suspend, or discontinue any part of the Services, and may revise these Terms from time to time. The "Last updated" date reflects the current version. Material changes will be communicated through the Website or by email. Your continued use after changes take effect constitutes acceptance.

These Terms are governed by and construed in accordance with the laws of India. Subject to Section 17, the courts at Sirsi, Karnataka shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Services.

For any complaint or grievance regarding the Services or these Terms, please contact our Grievance Officer. We will make reasonable efforts to resolve grievances promptly. The parties shall attempt to resolve disputes amicably before pursuing legal remedies.
